Tik Takers Customer Club – Bylaws

General

The Tik Takers Customer Club is administered by Tik Tak Translations Ltd.

1. Membership in the Tik Takers Customer Club

1.1 Any person 18 years of age, including corporations, organizations and groups, is entitled to join the Tik Takers Customer Club.

1.2 Tik Tak Translations Ltd. shall be entitled to reject an application to be admitted as a member of the Customer Club according to its absolute discretion and without providing reason for its refusal.

1.3 In order to be admitted as a club member and enjoy discounts and/or benefits on behalf of Tik Tak Translations Ltd., the candidate must fill his details in the registration form received from Tik Tak Translations Ltd.

1.4 Membership in the Customer Club is personal and non-transferable unless according to special and written approval by Tik Tak Translations Ltd.

1.5 Tik Tak Translations Ltd. and/or the Club shall not be obligated to notify the club member of any changes to the terms of these bylaws. Also, club membership entitles its members to various benefits or special offers as published by Tik Tak Translations Ltd.

1.6 From time to time, Tik Tak Translations Ltd. is entitled to limit the benefits and/or special offers and condition them according to its exclusive discretion.

2. Accumulation and Realization of Words

2.1 As part of the benefits and/or special offers published, a member may accumulate words on account of translation work orders, subject to the provisions of these bylaws.

2.2 The special offers and/or benefits offered to club members apply to an order of translation works of up to 200,000 words. In an order of a translation work with over 200,000 words, the words translated beyond the 200,000^th word will be calculated separately.

2.3 Realization of a special offer and/or benefit does not relate to the first translation work for which the benefit is requested but rather to the subsequent translation order.

2.4 A club member that has accumulated words must realize them by the end of the civil year during which the order was made. The examination shall be performed according to the date that appears on the order. A club member that does not realize his entitlement to words accumulated in the year during which the order was made will lose his entitlement to words and the accumulation will restart.

2.5 A benefit will be provided to a club member according, among others, to the Club program and according to the calculated accumulation of words only. A club member shall not have any right to calculate the benefit on the basis of percentages or by any other manner, and shall have no claim of any kind, at any time, towards Tik Tak Translations Ltd. regarding the manner of calculation.

2.6 A club member will be entitled to realize the words accumulated unto his name only, unless otherwise specified in a written approval provided by Tik Tak Translations Ltd.

2.7 A club member shall be entitled to realize words accumulated by him as part of a translation order, provided the word count does not exceed 50% of the order value, according to thetranslation pricelist found at Tik Tak Translations Ltd.

2.8 Tik Tak Translations Ltd. shall also credit the club member with words for future orders from work orders in which the member used his/her accumulated words. Crediting shall be calculated on the basis of the words for which the client actually pays, regardless of the words in his credit from previous works.

2.9 If a club member orders a translation work for a third party client (such as, a law office ordering translation services for the client), the words shall be credited to the benefit of the club member.

2.10 Tik Tak Translations Ltd. shall calculate the value of the words that a club member wishes to realize according to a pricelist found at the offices of Tik Tak Translations Ltd. In order to receive a copy of the pricelist, the club member must apply in writing to Tik Tak Translations Ltd.

2.11 The words pricelist found at the offices of Tik Tak Translations Ltd. is subject to changes from time to time according to the exclusive discretion of the Company and without any prior notice. The pricelist is calculated, among other matters, based on the type of translation, the language of translation, the level of difficulty (such as, difficult languages: Asian, Swedish, Dutch, Finnish, etc.), and the size of the work order.

 3. Conversion of Words

3.1 A member that has accumulated words cannot convert them for money or any other matter. Words shall be converted according to these bylaws and subject to benefits and/or special offers published on the website.

3.2 No additional special offers and/or benefits apply, unless explicit written approval is provided by the management of Tik Tak Translations Ltd.

4. Conversion of Words

4.1 A club member that wishes to cancel his membership in the Tik Takers Customer Club will send a letter of the offices of the Tik Tak Translations Ltd. management, specifying that he wishes to cancel the Club membership.

4.2 Tik Tak Translations Ltd. is entitled to cancel the membership of a club member that does not fulfill a payments arrangement according to a work order, without any prior notice. Also, Tik Tak Translations Ltd. is entitled to charge the club member, unilaterally and without any prior notice, for the monetary value of the benefit according to the Company's pricelist and according to the work's word count.

5. General

5.1 Tik Tak Translations Ltd. reserves the right to add, modify, retract and replace, at any time, the rules and regulations of the bylaws, without any prior notice and according to its absolute and exclusive discretion. Commencing on the date on which the bylaws are changed, only the new version thereof shall bind the Club. The binding version of the bylaws is the one to be found from time to time at management's offices.

5.2 Tik Tak Translations Ltd. is the exclusive authority for interpretation of the rules and regulations of the bylaws.

5.3 The manner by which club notices are published shall be as determined from time to time by the Club's management and according to its exclusive discretion.

5.4 By joining the Club, the member agrees that information received by the Club from the member, including the member's personal information and details regarding purchases thereby, shall be retained in one or more databases of Tik Tak Translations Ltd.

5.5 Also, by joining the Club, the member explicitly agrees and confirms that Tik Tak Translations Ltd. shall be entitled to use information received directly from the member, as well as information gathered and accumulated at Tik Tak Translations Ltd. database, for purposes of marketing and sales (of products, services, benefits, etc.).

5.6 The member hereby explicitly agrees to the aforesaid usage of the information ,and affirms that usage thereof shall not be considered as infringement of the member's privacy and shall not entitle the member to any remedy and/or compensation.
